Vendor terms - VinylBleu marketplace
Last updated: 2026-05-24. These terms apply to any label or artist (the "Vendor") registering an account on the VinylBleu marketplace to distribute their music in digital form.
1. Distribution mandate
By accepting these terms, the Vendor grants VinylBleu (SIRET 51989586600050) an exclusive commercial mandate for the marketing and online sale of their digital recordings on the website www.vinylbleu.fr.
VinylBleu acts as a commercial agent for the Vendor's account. Every retail invoice issued to a customer mentions this mandate. The Vendor remains the holder of the rights on the works deposited.
2. Self-billing mandate
The Vendor expressly authorises VinylBleu to issue, in their name and on their behalf, the payout summaries corresponding to each transfer, in accordance with article 289 II of the French General Tax Code. These summaries qualify as self-issued invoices ("autofactures") and substitute for invoices that would otherwise be issued by the Vendor.
Format and access:
- A self-issued PDF invoice is generated automatically at each payout (sequential numbering
AF-YYYY-NNNNN). - The PDF is available indefinitely in the Vendor's account, under "Payouts".
- The legal mentions on the PDF adapt to the Vendor's legal status (individual, sole proprietor, company, association).
Right to contest:
- The Vendor has a 15-day window from the date of the self-issued invoice to contest its content (amount, period, mentions).
- Any contest is made by email to VinylBleu, which undertakes to issue a corrective credit note or rectifying self-invoice within 7 days.
- Absence of contest within this window constitutes implicit acceptance of the self-issued invoice.
Refusal of the mandate:
- The Vendor may refuse the self-billing mandate by notifying VinylBleu by email. They then revert to the classic regime: they issue their own invoice at each payout and send it to [email protected] within 15 days of receiving the transfer.
- Refusal of the mandate does not suspend pending payments.
3. Commission and net payout
A commission is taken by VinylBleu on the public price of each sale. The Vendor receives the remainder as a net payout, constant for every sale regardless of the customer's payment method.
The retained commission covers the operating costs of the platform:
- banking fees charged by the payment processor;
- social contributions and tax liability of VinylBleu on its activity;
- storage, CDN, customer support and platform maintenance.
The detailed breakdown of the commission and the corresponding net payout per sale are displayed in real time in the Vendor's upload area at the moment of setting the price, and remain available in the Vendor's account.
4. Adjustment of the commission
VinylBleu may adjust the commission rate with 60 days' written notice to the Vendor in the event of a substantial change in the applicable tax, social or regulatory framework (URSSAF, VAT regime, PSP regulation, etc.). The Vendor will then be free to withdraw their releases before the new rate takes effect, without any penalty.
5. VAT
The VAT regime applied to the self-issued invoice depends on the Vendor's legal status declared in their account (see article 6). By default, "VAT not applicable, article 293 B of the French General Tax Code" applies as long as the Vendor is under the franchise threshold.
The price displayed to customers is the exact amount they pay (all taxes included). VinylBleu does not add any VAT at checkout, unlike some other platforms that show a pre-tax price and then add VAT to the cart (which reduces the vendor's effective payout).
6. Vendor obligations by legal status
The Vendor undertakes to declare an accurate legal status upon registration and to keep it up to date in their account ("My profile").
6.1 Individual
- Occasional activity only, allowed within the legal thresholds below.
- Beyond EUR 2,000 in annual revenue OR 30 annual transactions (DAC7 threshold), the Vendor undertakes to register as a sole proprietor (micro-entreprise) within 3 months. Failing this, VinylBleu reserves the right to suspend new releases while continuing to honour pending payments.
- The amounts received must be declared as BNC (Benefices Non Commerciaux) in the Vendor's personal income tax return, or BIC if the activity becomes regular and commercial in nature.
- Mention appearing on the self-issued invoice: "Non-professional vendor - Exempted from RCS and RM registration (article L 123-1-1 of the French Commercial Code)".
6.2 Sole proprietor / Micro-entreprise
- SIREN is mandatory and must be provided in the Vendor's account.
- Intra-EU VAT number to be provided if the Vendor is subject to VAT (beyond the franchise threshold: EUR 37,500 for services in 2026).
- Default mention on the self-issued invoice: "VAT not applicable, article 293 B of the French General Tax Code" (franchise regime).
- If VAT-applicable: VAT is added to the payout amount and remitted to the Vendor, who declares it through their usual regime.
6.3 Company (SARL, SAS, EURL, etc.)
- SIREN, registered name and legal form mandatory.
- Intra-EU VAT number mandatory if VAT-applicable.
- The legal form and share capital are mentioned on the self-issued invoice where applicable.
6.4 Non-profit association (loi 1901)
- RNA number mandatory (issued by the prefecture).
- SIREN required if the association has registered with INSEE (recommended when an economic activity exists).
- The association is responsible for compliance with its statutory purpose and with the tax rules applicable to ancillary commercial activities (French tax instruction 4 H-5-06).
The Vendor undertakes to notify VinylBleu by email within 30 days of any change in legal status (creation of a sole proprietorship, transition to a company, dissolution, etc.). Updating the profile in the Vendor account is deemed sufficient notification.
7. Tax reporting (DAC7)
In accordance with European Directive 2021/514 (DAC7), VinylBleu is required to declare annually to the French tax administration the income received by each Vendor on the platform.
- Reporting thresholds: EUR 2,000 in annual revenue OR 30 annual transactions per Vendor.
- Data collected and transmitted: identity, tax address, country of tax residence, IBAN, total annual amount received.
- Submission deadline: the declaration is submitted before January 31 of year N+1 for the income of year N.
- Annual summary: a recap PDF is sent to the Vendor before January 31 of each year, to be used for their own tax return.
The Vendor undertakes to provide accurate tax information upon registration and to keep it up to date. Any knowingly inaccurate data engages the Vendor's responsibility.
8. Payout
Payouts are made on a regular basis, by bank transfer or PayPal depending on the option chosen by the Vendor in their profile. Each payout is documented in the "Payouts" section of the Vendor's account, with the corresponding self-issued PDF invoice.
9. Rights and obligations of the Vendor
The Vendor warrants that they hold all rights necessary for the digital distribution of the works they deposit. The Vendor undertakes not to deposit any content infringing third-party rights. VinylBleu may reject or withdraw any deposit not complying with this rule, without notice.
10. Term, modification and termination
Term: these terms are concluded for a duration of one year, renewable by tacit renewal. Each renewal is valid for one year.
Modification: VinylBleu may modify these terms at any time. The Vendor is notified by email with a 30-day notice before the new terms take effect, except for any substantial change in the commission rate (60 days, see article 4).
Termination by the Vendor: the Vendor may terminate their account at any time from their account or by email. Pending payments for sales preceding the termination continue to be paid according to the normal cycle.
Termination by VinylBleu: VinylBleu may terminate the Vendor's account with 30 days' notice in the event of breach of these terms, or without notice in the event of fraud, illegal content or infringement of third-party rights.
Upon termination, the Vendor's releases are withdrawn from sale within 7 days. Self-issued invoices generated before termination remain accessible in the Vendor's account for 10 years (the legal accounting retention period).
11. Transition period for existing vendors
Vendors with an existing VinylBleu account operating under the classic regime (Vendor issues their own invoice) are notified by email of the switch to self-billing with a 30-day notice before the effective date.
Absent a written refusal before the effective date, acceptance is implicit and self-billing applies automatically at the next payout.
In case of explicit refusal: the Vendor remains under the classic regime (they continue issuing their own invoices) until contractual review. This option remains available for existing vendors; new accounts opened after the effective date are placed on self-billing by default, without an opt-out option.
12. Applicable law
These terms are governed by French law. Any dispute will fall under the exclusive jurisdiction of the courts of Rodez.
